ELECTRONIC MODEL RELEASE, AI LIKENESS AND CONTENT RIGHTS AGREEMENT

This Agreement is entered into between Qumar Afsar trading as Zed Hive ("Agency") and the individual accepting this Agreement ("Model").

The Model acknowledges that acceptance through digital signature and electronic submission shall have the same legal effect as a handwritten signature.

1. ENGAGEMENT

The Model agrees to participate in photography, videography, audio recordings, promotional campaigns, social media content, advertising campaigns, marketing materials, artificial intelligence productions, digital media projects, and any other content creation activities conducted by or on behalf of the Agency.

2. OWNERSHIP OF CONTENT

The Agency shall be the sole and exclusive owner of all photographs, videos, recordings, audio, graphics, edits, composites, designs, renders, AI-generated works, derivative works, and any other materials created during or arising from the engagement ("Content").

The Model acknowledges that no ownership rights are retained by the Model.

All intellectual property rights, copyright, database rights, and any other rights arising in the Content shall belong exclusively to the Agency from creation.

3. LIKENESS RIGHTS

The Model irrevocably grants the Agency a perpetual, worldwide, transferable, sublicensable, royalty-free, unrestricted right to use the Model's Likeness for any lawful purpose.

"Likeness" includes but is not limited to face, facial features, appearance, voice, accent, speech patterns, expressions, movements, mannerisms, body shape, hair, identifiable characteristics, biometric appearance, digital representations, virtual representations, AI-generated representations, digital twins, avatars, and synthetic media recreations.

4. AI, DIGITAL TWIN AND SYNTHETIC MEDIA CONSENT

The Model expressly authorises the Agency to:

* Use Content featuring the Model for artificial intelligence training.
* Create AI-generated content using the Model's Likeness.
* Create digital twins and virtual replicas.
* Create synthetic media.
* Create voice recreations and voice models.
* Create avatars and virtual characters.
* Generate entirely new content featuring the Model's Likeness.
* Modify, transform, age, de-age, stylise, animate, recreate, enhance, combine, edit, or otherwise alter the Model's Likeness.
* Use the Model's Likeness in future technologies and systems not yet developed.

The Agency may create new content featuring the Model's Likeness without further approval, notification, participation, or compensation.

5. COMMERCIAL USE

The Agency may use the Content and Likeness for any lawful commercial, promotional, advertising, marketing, educational, editorial, entertainment, training, licensing, or business purpose.

6. CLIENT, PARTNER AND THIRD-PARTY LICENSING

The Agency may sell, licence, sublicense, distribute, transfer, assign, publish, or otherwise provide the Content and Likeness to clients, partners, contractors, service providers, affiliates, successors, purchasers of the Agency, and third parties without further permission from the Model.

7. NO APPROVAL RIGHTS

The Model waives any right to inspect, review, approve, reject, modify, challenge, or control any Content, AI-generated Content, advertisements, marketing materials, commercial uses, or future uses of the Likeness.

8. NO ADDITIONAL COMPENSATION

The Model acknowledges that any agreed payment constitutes full and final compensation.

The Model shall not be entitled to royalties, residual payments, revenue shares, licensing fees, future compensation, or profit participation regardless of how often or how widely the Content or Likeness is used.

9. IRREVOCABLE CONSENT

The rights granted under this Agreement are perpetual and irrevocable.

The Model shall not withdraw, revoke, rescind, restrict, terminate, or challenge the rights granted under this Agreement after acceptance.

The Agency may continue using all Content and Likeness indefinitely.

10. WAIVER OF MORAL RIGHTS

To the fullest extent permitted by law, the Model irrevocably waives all moral rights and similar rights worldwide.

The Agency shall have no obligation to identify, credit, acknowledge, or attribute the Model.

11. ARCHIVE AND RETENTION RIGHTS

The Agency may permanently retain, archive, store, duplicate, reproduce, process, and maintain copies of the Content and Likeness indefinitely.

12. FUTURE TECHNOLOGY PROTECTION

This Agreement applies to all current and future technologies, media formats, distribution methods, communication systems, artificial intelligence systems, virtual environments, augmented reality systems, digital platforms, and technologies not yet invented or commercially available.

13. CONFIDENTIALITY

The Model shall not disclose confidential information relating to the Agency, Agency clients, production processes, AI workflows, marketing strategies, internal systems, or business operations without the Agency's written consent.

14. NON-DISPARAGEMENT

The Model shall not knowingly make false or misleading statements intended to damage the reputation, goodwill, business interests, clients, employees, contractors, or commercial relationships of the Agency.

15. INDEMNITY

The Model agrees to indemnify and hold harmless the Agency, its contractors, clients, affiliates, successors, and assigns from losses, damages, liabilities, costs, claims, and expenses arising from breach of this Agreement, false information supplied by the Model, or unlawful conduct of the Model.

16. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Agency's total liability arising from this Agreement shall not exceed the amount paid by the Agency to the Model for the relevant engagement.

17. NO EMPLOYMENT RELATIONSHIP

Nothing in this Agreement creates an employment relationship, worker relationship, partnership, joint venture, or agency relationship.

The Model participates as an independent contractor.

18. ASSIGNMENT OF RIGHTS

The Agency may assign, transfer, novate, licence, sublicense, or otherwise transfer this Agreement and any rights granted under it to any company, partnership, successor business, purchaser, affiliate, or entity owned or controlled by the Agency without obtaining further consent from the Model.

19. ELECTRONIC ACCEPTANCE

The parties agree that digital signatures, electronic acceptance, submission records, timestamps, IP addresses, mobile numbers, email addresses, browser information, device information, and audit records may be relied upon as evidence of acceptance.

20. SEVERABILITY

If any provision of this Agreement is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

21. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all previous discussions, negotiations, understandings, representations, and arrangements relating to its subject matter.

22. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

By signing and submitting this Agreement electronically, I confirm that:

I am at least 18 years of age.

I have read and understood this Agreement.

I voluntarily accept its terms.

I have the legal capacity to enter into this Agreement.

I grant all rights described above to Qumar Afsar trading as Zed Hive.
